RK Swamy Announces Subsidiary Merger to Streamline Operations
RK Swamy Ltd has announced that the boards of its subsidiaries Hansa Customer Equity Private Limited (Hansa Cequity) and Dsquare Solutions Private Limited have approved a scheme of amalgamation under which Dsquare will merge with Hansa Cequity.
According to a stock exchange filing, the boards of the two companies approved the proposal at separate meetings held on August 10. The scheme remains subject to statutory and regulatory approvals, with April 1, 2026, designated as the appointed date.
The proposed merger involves Dsquare Solutions, a customer and marketing analytics services company, being amalgamated into its parent entity Hansa Customer Equity, which provides data analytics, digital marketing consultancy and customer relationship management solutions.
Both companies are part of the RK Swamy group structure. Dsquare is a wholly owned subsidiary of Hansa Customer Equity, while Hansa Customer Equity is a wholly owned material subsidiary of RK Swamy Ltd.
As of March 31, 2026, Dsquare reported a turnover of ₹203.98 lakh and a net worth of ₹745.77 lakh, while Hansa Customer Equity posted a turnover of ₹9,852.44 lakh and a net worth of ₹5,829.52 lakh.
RK Swamy said the rationale behind the merger is to achieve effective control, optimal utilisation of resources, economies of scale and reduced legal and regulatory compliance requirements. The consolidation is also expected to simplify the ownership structure and enhance stakeholder value through operational synergies.
The company stated that both entities operate in closely related businesses focused on customer relationship management, data analytics and marketing solutions. Hansa Customer Equity additionally offers services, including market mix modelling, campaign management, loyalty programme management, segmentation and direct marketing solutions.
Since Dsquare is already a wholly owned subsidiary of Hansa Customer Equity, the amalgamation will not involve any consideration. Shares held by Hansa Customer Equity and its nominees in Dsquare will stand cancelled upon the scheme becoming effective.
RK Swamy clarified that the transaction qualifies as a related-party transaction but is exempt under SEBI regulations because it is being undertaken between wholly owned subsidiaries of the company.
The listed entity also noted that there will be no change in RK Swamy’s shareholding pattern, as the company itself is not a direct party to the amalgamation.
