The deal is valued at over $1.5 billion and will grant Sentivera global rights to develop, manufacture, and commercialize a preclinical drug targeting type 2 inflammatory diseases, excluding Greater China.
The agreement includes an upfront payment and equity stake totaling $75.89 million, with potential milestone payments reaching up to $1.46 billion tied to development, regulatory approvals, and commercial achievements.Haiscowill also receive mid-single to low double-digit tiered royalties on net sales following product launch.
The asset
The licensed drug is a core immunology asset in Haisco’s pipeline designed to inhibit the development and progression of type 2 inflammatory diseases. The compoundreceivedInvestigational New Drug (IND) approval in China this month. The firm claims that preclinical studies have shown strong anti-inflammatory activity alongside a favorable safety profile.
Unlike traditional licensing arrangements, this transaction adopts a “Newco partnershipstructure,” giving Haisco equity participation in Sentivera rather than simply collecting milestone payments and royalties from the sidelines. This approach aims to create deeper strategic alignment between Haisco and its US partners, allowing the Chinese company to share in the venture’s growth while maintaining confidence in the asset’s global market potential.
Haisco described the collaboration as aligned with its international expansion strategy, positioning it to generate sustainable cash flow and long-term investment returns while advancing China-developed medicines to patients worldwide.
The backers
Sentivera is backed by Population Health Partners, a healthcare-focused investment firm, and ARCH Venture Partners, a venture capital firm with experience in early-stage biotech investments. The partnership structure suggests strong investor confidence in the preclinical asset’s commercial prospects.
The deal represents a notable example ofcross-border biotech collaboration, withChinese innovation meeting US capitaland development expertise in a structure that aligns incentives across all parties.
