Silence Therapeutics launches initial public offering
Silence Therapeutics plc commenced an underwritten public offering of approximately $150 million of its American Depositary Shares (ADS), each representing three ordinary shares in the capital of the company, in the U.S.1 The proposed offering was registered under the U.S. Securities Act of 1933, as amended, and all of the ADSs were being offered by Silence. At the time of the launch, Silence says it intends to grant the underwriters a 30-day option to purchase up to an additional 15% of the total number of ADSs proposed to be sold in the offering, at the public offering price, less underwriting discounts and commissions.1
Silence followed that announcement by pricing the offering at $13.50 per ADS, for a total of 12,962,963 ADSs.2 The company has also granted the underwriters a 30-day option to purchase up to an additional 1,944,444 ADSs at the public offering price, less the underwriting discounts and commissions.2 Gross proceeds from the offering are expected to be approximately $175 million, before deducting underwriting discounts and commissions and other offering expenses, and excluding any exercise of the underwriters’ option to purchase additional ADSs.2
The offering is expected to close on or about August 13, 2026, subject to customary closing conditions. Jefferies, Morgan Stanley, Cantor and William Blair are acting as joint book-running managers for the offering.
