Critical Mineral Resources PLC (LSE:CMRS, FRA:98J) has secured a US$2 million (£1.51 million) strategic investment from mining finance specialist Nebari, giving the company fresh funding for its Agadir Melloul copper-silver project and a potential route to construction finance.
Nebari is subscribing for 75.47 million shares at 2p each, equal to CMR’s 10-day average closing share price when terms were agreed, and will emerge with around 15.2% of the enlarged company as its second-largest shareholder.
The investor will also receive one warrant for every share subscribed, split equally between exercise prices of 3p and 4.5p and valid for four years. Full exercise could provide a further £2.8 million. Nebari also gains a right of first refusal to provide construction finance for Agadir Melloul and CMR’s other mine developments, as well as board observer and technical committee representation.
Chief executive Charles Long said Nebari’s involvement gives CMR “a credible funding pathway early in the Project’s life”. The proceeds will support resource definition, acquisitions and development work at Agadir Melloul, where a maiden JORC Mineral Resource Estimate is expected in the fourth quarter of 2026.
