ADT has entered into a definitive agreement to be acquired by Thrive Holdings in an all-cash transaction valued at approximately $7.6 billion in equity value and $15.3 billion in enterprise value.
Under the agreement, ADT shareholders will receive $10 per share in cash. The price represents a 45.6% premium to ADT’s unaffected closing share price of $6.87 on October 27, 2026.
ADT’s board unanimously approved the transaction.
Thrive Holdings is a permanent capital holding company that invests in established businesses and works with operating teams to expand technology capabilities. More than 75 businesses across accounting, IT services, and the built environment are currently part of its portfolio.
Following closing, ADT will become privately held and its common stock will cease trading on the New York Stock Exchange.
Thrive plans to support continued investment in ADT’s people, products, services, technology, and customer experience. Its engineering teams will work with ADT’s product and technology organizations to develop additional capabilities while building on ADT’s nationwide service network and security operations.
ADT employs more than 12,000 people and has more than 150 years of experience in residential and small business security.
Thrive said ADT’s existing customer data protection and privacy policies will remain unchanged and that no new data sharing will occur without customer permission.
Financing commitments for the acquisition have been provided solely by funds managed by affiliates of Apollo Global Management.
The transaction is expected to close in the first quarter of 2027, subject to ADT shareholder approval, U.S. antitrust clearance, and other customary closing conditions. The deal is not subject to a financing condition.
ADT is permitted to solicit alternative proposals for a 30-day period ending November 28, 2026, under the terms of the merger agreement.
